01Agreement

These Terms of Use govern your use of the Rebate Pad website, the Rebate Pad app once it opens, and any related interface we provide (together, the “Services”). “Rebate Pad”, “we” and “us” mean the team that operates the Services. By using the Services you agree to these terms. If you do not agree, do not use them.

Notices shown inside the app, such as the fee lines in a quote, form part of these terms for the action they describe.

02What Rebate Pad is

Rebate Pad is software. It gives you an interface to smart contracts on Robinhood Chain that let anyone create a token with fixed rules and trade it through a Uniswap v4 pool. Each launch sets its bonus rate (bonus tokens on buys, 2% to 9%), which is also its sell fee, its holder payout rate, and its payout destination. Those rates are written into the pool at launch and cannot be changed afterwards.

Rebate Pad is an independent project. It runs on Robinhood Chain and uses Uniswap v4, but it is not operated, endorsed or sponsored by Robinhood or Uniswap Labs.

03Who can use the Services

You may use the Services only if all of the following are true:

  • You are at least 18 years old and able to enter into a binding agreement.
  • You are not located in, resident in, or organised under the laws of a country or region subject to comprehensive sanctions, and you are not named on, or owned or controlled by anyone named on, a sanctions list.
  • Using the Services, holding the tokens involved, and trading them are lawful where you are.
  • You are acting for yourself, or you have authority to act for the person or organisation you represent.

We may restrict access to the Services from certain places or for certain wallets, including to comply with the law.

04Non-custodial

We never hold your tokens, your funds or your keys. Every launch, trade and transfer is a transaction you sign in your own wallet and send to public smart contracts. We cannot reverse, cancel, pause or recover a transaction once it is sent, and we cannot move assets out of your wallet.

The rates of a pool are fixed when it is created and cannot be changed by anyone, including us. Some protocol-wide settings can be changed by an administrator: which pair tokens new launches may use, the launch fee (up to 0.1 ETH), and the limits of the automated $REBATE rounds (for example how often they can run and the cap on the caller’s share). Those settings never change the rates of an existing pool.

05Your wallet and its security

You are responsible for your wallet, your seed phrase, your devices and every transaction you approve. Check each transaction in your wallet before you sign it.

We will never ask for your seed phrase or private key. Anyone who does is not us.

06Quotes, trades and fees

A quote shows the expected base tokens, bonus tokens, fees and total at the current price. It is an estimate. The final result can differ because of price movement, slippage, other transactions in the same block, and the following rules of the contracts:

  • Bonus tokens are paid from the token’s locked treasury and are capped at what the treasury holds at that moment.
  • In the first three seconds after a launch, buys pay a snipe fee that falls from 99% to 66% to 33% and then to zero. The fee goes into the token’s treasury.
  • Sells receive no bonus. They pay a sell fee, in tokens, equal to the launch’s bonus rate, which goes into the treasury.

Every trade on a launched token pays a 0.7% platform fee, the launch’s holder payout rate and the 0.3% Uniswap pool fee, all in the pair token. Trades of $REBATE pay a 0.3% platform fee instead. Together the fees on any token never exceed 10%. You also pay the network’s gas fees, and creating a token may carry a launch fee. Fees are taken by the smart contracts as each transaction runs and cannot be refunded.

You are responsible for any taxes that apply to your activity.

07Launching a token

If you create a token, you are responsible for it and for everything you submit with it: its name, symbol, artwork, description and links. You confirm that you have the right to use that material and that it is not misleading.

You must not create a token that impersonates a person, brand, company or project, suggests an affiliation or endorsement that does not exist, or represents a share, debt, or any right to profits or assets. Do not promise buyers a return, a price or a payout.

Choices made at launch are permanent, including the pair token, the rates and the payout destination. The only exception is a one-way switch that sends a creator’s payouts to holders instead; it cannot be switched back.

We may hide a token, its artwork or its description from our interface at our discretion, for example if it breaks these terms or the law. We cannot remove a token or its pool from the blockchain.

Listing a token in our interface does not mean we have reviewed, verified or endorsed it.

08Bonus tokens, holder payouts and $REBATE

Bonus tokens are extra tokens added to the base output of a buy. They are not a discount, a refund, tax relief, interest or protection against price changes.

Holder payouts are a share of trading fees in the pair token. They depend entirely on trading volume and can be small or zero. A holder’s share depends on their balance and how long they have held. Holdings worth under $1 are left out of a round, and a launch can exclude up to ten wallets, such as pools and contracts. Payouts are calculated and sent through the day by off-chain services run by us or by service providers, so they can be delayed or interrupted.

$REBATE is the Rebate Pad token. The platform fees are converted to USDG and used to buy $REBATE and burn it, through automated buy orders below its price and buys at the market price. Anyone may trigger a round once enough has built up, and the caller receives a small, capped share. Buying and burning reduces the supply of $REBATE. It does not guarantee any price or value.

09Pair tokens

Launches are paired with assets such as USDG, ETH and other assets approved for new launches, which may include tokens issued by third parties that track the price of other assets, such as tokenised stocks. Those assets are issued and governed by their issuers under their own terms. They may carry eligibility or transfer restrictions, may be unavailable where you are, and can be paused, frozen or changed by their issuers. They give you no rights against Rebate Pad. You are responsible for being allowed to hold and use them.

10Risks

Using the Services carries serious risk, and you can lose everything you put in. In particular:

  • Token prices are volatile. Most new tokens lose most or all of their value, and some can become impossible to sell at any useful price.
  • Anyone can launch a token, including people who intend to mislead buyers.
  • Smart contracts, the blockchain, wallets and the services around them can contain bugs, be attacked, or stop working. Audits reduce this risk but do not remove it.
  • Transactions are public. Other parties can see and react to pending transactions, which can affect your price.
  • Laws and regulations on digital assets are changing and could limit or end your ability to use the Services or the tokens involved.
  • Pair tokens can lose their value or their link to the asset they track.

11No advice and no offer

Nothing in the Services is financial, investment, legal or tax advice, a recommendation, or an offer or solicitation to buy or sell any token, including $REBATE. Figures on the website are illustrative examples. Make your own decisions and seek independent advice where you need it.

12Acceptable use

You must not use the Services to:

  • break any law or regulation, or evade sanctions;
  • defraud or mislead others, including by launching a token with the intent of abandoning it after taking buyers’ funds;
  • manipulate markets, including wash trading, spoofing or coordinated pump-and-dump schemes;
  • exploit a bug or vulnerability instead of reporting it to us;
  • interfere with, overload or attack the Services, or access them through automated means at a volume that harms other users;
  • impersonate anyone, or infringe anyone’s intellectual property, privacy or other rights;
  • publish illegal, hateful, sexually exploitative or violent content, or malware.

13Our interests

Rebate Pad and its team may hold $REBATE and other tokens launched on the pad, and the protocol receives platform fees. We may feature or highlight tokens in our interface. We do not act as your broker, adviser, agent or fiduciary.

14Third-party services

The Services rely on services we do not control, including Robinhood Chain, Uniswap v4, wallets, RPC providers, block explorers, hosting and data providers. Your use of them is governed by their own terms. We are not responsible for their availability, accuracy or conduct.

15Intellectual property

The Rebate Pad name, logo, the mascot Ruby, the website and the app interface belong to us or our licensors. You may use the Services for their intended purpose, but you may not copy, modify or reuse our branding or interface without permission. Smart contract code we publish is available under the licence stated with it.

16Content you submit

You keep your rights in the content you submit, such as token artwork and descriptions. You give us a worldwide, free, non-exclusive licence to host, store, copy and display it as needed to run and promote the Services. Content you link to a token on-chain may be permanent and outside our control.

17Feedback

If you send us ideas or suggestions, we may use them without any obligation to you.

18Availability and changes to the Services

We may change, suspend or stop any part of the Services, including the website and the app, at any time. The smart contracts run on the blockchain independently of our interface.

19No warranties

The Services are provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted or error-free operation.

20Limitation of liability

To the extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, tokens, funds, data or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services is limited to the greater of the fees you paid to us in the 12 months before the claim and 100 US dollars.

Some places do not allow these limits, so they may not all apply to you. Nothing in these terms limits liability that cannot be limited by law.

21Indemnity

You agree to compensate us for claims, losses and costs, including reasonable legal fees, that arise from your breach of these terms, your misuse of the Services, the tokens or content you create, or your violation of any law or anyone else’s rights.

22Suspension and termination

We may suspend or end your access to our interface at any time, including if we believe you have broken these terms or the law. The sections that by their nature should survive, such as risks, no warranties, limitation of liability and indemnity, continue to apply.

23Disputes

If you have a dispute with us, contact us first and give us 60 days to try to resolve it informally. The law that governs these terms, and the courts or arbitration that will hear a dispute, will be stated here once the operating entity is confirmed.

24General

These terms, together with the Privacy Policy, are the whole agreement between you and us about the Services. If a part of them is found unenforceable, the rest still applies. We may assign these terms; you may not assign them without our consent. Not enforcing a right is not a waiver of it.

25Changes to these terms

We may update these terms. The date at the top shows the latest version. Using the Services after a change means you accept the updated terms.
